RFQs and technical supply

These terms govern RFQs and, unless special terms differ, supplies by SURINFO CADIZ SL. They mainly concern business and professional customers.
1. Scope
SURINFO CADIZ SL, tax ID B11469632, sources references and supplies industrial and naval materials. Customers act professionally unless they state otherwise before contracting.
2. RFQs
An RFQ invites a proposal and does not require contracting, stock reservation or price maintenance. Customers must provide references, manufacturer, quantity, specifications, certification, destination, timing and critical conditions.
3. Quotation and contract
Written quotations state relevant items, price, taxes, carriage, estimated time, payment, validity and special terms. A contract forms on written order confirmation or unequivocal performance; automated messages acknowledge receipt only.
Priority: signed contract; order confirmation/special terms; Surinfo quotation; these terms. Customer terms apply only if expressly accepted in writing.
4. Price and charges
Prices exclude VAT, duty, tax, special packaging, carriage, insurance and other charges unless stated. They depend on validity, availability and market conditions and may be updated after expiry.
5. Payment
Payment follows quotation or invoice. Delay may trigger statutory interest and recovery costs. Surinfo may require security or suspend deliveries for non-payment, objective credit deterioration or material breach.
6. Specifications and documents
Customers verify suitability. Essential substitutions require identification or approval. Images are illustrative. Certificates, traceability, approvals or tests must be requested before contracting and may cost extra.
7. Availability and timing
Pre-confirmation times are estimates and run from accepted order, complete data and any advance payment. Surinfo reports known delays but is not liable for manufacturer, carrier, customs, shortage, force majeure or customer causes beyond reasonable control.
8. Delivery and risk
Place, transport, costs, Incoterm and risk follow the quotation or confirmation. Customers provide suitable receipt. Unjustified refusal or delay may incur storage, return or redelivery costs.
9. Inspection and returns
Customers inspect on receipt, note visible loss with the carrier and promptly report with evidence. Returns require authorisation. Used, altered, customised, made-to-order or non-returnable goods are excluded except for defect, Surinfo error or mandatory rights.
10. Warranty
Quotation, manufacturer warranty and law apply. Normal wear, incorrect installation or use, poor maintenance, alteration, improper storage and incompatible conditions are excluded. Remedies may include repair, replacement, credit or manufacturer handling.
11. Cancellation
Accepted orders may be changed or cancelled only with written consent. Customers bear incurred and non-recoverable costs. Surinfo may cancel unlawful, impossible, sanctioned, export-restricted or permanently unavailable operations.
12. Compliance
Customers comply with safety, specifications, export controls and declared destination. Surinfo may request end-user, destination and use information.
13. Force majeure
Neither party is liable for unforeseeable or unavoidable events beyond reasonable control. The affected party notifies and mitigates; if the transaction is frustrated, the outstanding part may be terminated.
14. Liability
Each party is liable for direct loss caused by breach. In B2B transactions, except fraud, gross negligence or non-limitable liability, Surinfo excludes indirect loss, lost profit, production, contracts or data. Customers must mitigate.
15. Confidentiality and ownership
Confidential information is used only for the transaction unless authorised or legally required. Drawings, quotations, methods and documents retain their ownership.
16. Data and communications
Contact data follow the Privacy Policy. Parties accept electronic communications, keep contacts current and verify bank-detail changes through an additional channel.
17. Severability and waiver
Invalidity of one clause does not affect the rest. Failure to exercise a right is not waiver. Assignment requires consent except permitted reorganisation or receivables assignment preserving protections.
18. Law and jurisdiction
Spanish law applies. In B2B relations, Jerez de la Frontera courts have jurisdiction unless arbitration or another venue is agreed. Mandatory consumer law, if applicable, prevails.
